Important: Browsing this Website and submitting a contact form does not create a solicitor-client relationship. A formal engagement relationship is established only upon execution of an Engagement Letter.

Wills and Probate
Drafting of wills, applications for grants of probate, and administration of estates under Malaysian law, including both testate and intestate situations.
Technology Licensing
Review and drafting of software licences, SaaS agreements, and technology transfer contracts, including IP considerations and cross-border regulatory compliance.
Service availability, scope, timelines, and pricing are subject to the specifics of each matter and will be set out in an Engagement Letter before work commences. We reserve the right to decline any engagement at our discretion without being required to give a reason.
4 User Obligations
When using our Website or engaging our services, you agree to:

- Promptly notify us of any changes to information provided
- Co-operate with identity verification procedures as required under Malaysian anti-money laundering laws

6 Fees & Payment
Our professional fees are outlined in the Engagement Letter and may be structured as a fixed fee, an hourly rate, or a milestone-based arrangement depending on the matter. Indicative fees published on our Website are for reference purposes and are subject to the specifics of each matter.
7 Service-Specific Terms
Heritage Property Law
Engagements are subject to access to relevant title documents, heritage designation records, and regulatory correspondence. Timelines depend on third-party responses from the National Heritage Department and land offices. We cannot control government processing times and do not commit to outcome timelines beyond our own file management.
Wills and Probate
Will preparation is subject to your providing clear and complete instructions. We will present a draft for your review before any final execution. Probate matters involve court processes that are beyond our control in terms of timing. We advise all clients to execute wills formally in the presence of witnesses as required by law.
Technology Licensing
Licensing advisory is based on information you provide regarding your technology, counterparty arrangements, and applicable jurisdictions. Our review is limited to the documents and information shared with us. We do not warrant that licensing terms will be acceptable to third parties or that regulatory approvals will be obtained on any particular timeline.
8 Confidentiality
We treat all information shared with us in the course of a professional engagement as confidential, in accordance with our duties under the Legal Profession Act 1976 and professional ethics rules of the Malaysian Bar Council.
We will not disclose your confidential information to third parties without your consent, except where required by law or court order, or where necessary to perform the services with your prior awareness (such as engaging a barrister or independent expert).
This confidentiality obligation survives the termination of any engagement and continues indefinitely, subject to applicable statutory exceptions.

- Events beyond our reasonable control (force majeure)
Nothing in these Terms limits our liability for fraud, fraudulent misrepresentation, or any other liability that cannot be excluded under Malaysian law.
11 Indemnification
You agree to indemnify and hold Rectiven, its staff, and associates harmless from any claims, losses, liabilities, costs, or expenses (including reasonable legal fees) arising from:

- Your violation of any applicable law or regulation
- Inaccurate or misleading information you have provided to us
- Your infringement of any third party's rights in connection with your use of our services
12 Termination
Either party may terminate an active engagement by providing reasonable written notice, subject to the terms of the Engagement Letter. On termination:
- All fees for work performed up to the date of termination remain payable
- We will provide you with a summary of matter status and return original documents held on your behalf
- Our confidentiality obligations continue to apply
- Clauses relating to intellectual property, limitation of liability, and governing law survive termination
We reserve the right to cease acting for a client if instructed to act in a manner that conflicts with our professional obligations, or where a conflict of interest arises that cannot be resolved.
13 Governing Law & Dispute Resolution
These Terms & Conditions are governed by and construed in accordance with the laws of Malaysia. Any dispute arising from these Terms or from our services will be subject to the exclusive jurisdiction of the courts of Malaysia, with proceedings to be conducted in the courts of Penang where possible.
Before initiating any formal proceedings, both parties agree to make a good-faith effort to resolve disputes informally. Please contact us at [email protected] with a description of your concern, and we will endeavour to respond within 14 days.
In appropriate cases, both parties may agree to refer disputes to mediation under the auspices of the Malaysian Mediation Centre before resorting to litigation.
14 General Provisions
Entire Agreement: These Terms, together with any executed Engagement Letter, constitute the entire agreement between the parties with respect to the subject matter herein.
Severability: If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect.
Waiver: Our failure to enforce any provision shall not constitute a waiver of that provision or our right to enforce it at a later date.
Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may engage associates or agents to assist with service delivery.
Notices: Formal notices should be delivered in writing to the address below or by email to [email protected]. Notices are deemed received on the business day following transmission.
Changes to Terms: We may update these Terms from time to time. The updated version will be posted on this page with a revised "Last Updated" date. Continued use of our Website after changes constitutes acceptance of the updated Terms.
